- Universal makes no representation or warranty of any kind with respect to User's Use of the clip and/or still or otherwise
- User shall be responsible for any and all third party consents, Moral Rights clearances and payments of any kind otherwise, that may be associated with the Use
- User shall comply with the provisions of the Universal Copyright Convention of the laws of the United States to protect the copyright of the clip and/or still
- User shall not disparage, criticize, belittle, parody, alter or otherwise negatively comment upon the clip and/or still in connection with the Use
- Any Use of the clip and/or still, other than as specified above, including any verbal or narrative reference to the Property, may require a separate specific consent from Universal upon User's written request
- User shall defend, indemnify and forever hold harmless Universal and its respective affiliated entities, directors,shareholders, officers, agents, employees, assigns and successors-in-interest from and against any and all claims, liabilities, penalties, losses, costs, damages, demands, actions, causes of action, suits, proceedings, judgments and expenses including without limitation amounts paid in settlement, attorneys' fees, court costs and other legal expenses arising out of, connected with, and/or relating to the Use.
- This agreement represents the entire understanding of the parties and shall be construed in accordance with the laws of the State of California applicable to agreements fully executed and performed therein. The terms and conditions herein shall not be changed, amended or modified unless in writing signed by an authorized signatory of both parties hereto.
